Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the R&Dossier platform and services (“Service”). By creating an account or using the Service in any way, you agree to be bound by these Terms. If you do not agree, you must not use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

1. Description of Service

R&Dossier is a WBSO administration platform for software, SaaS, AI, and technology teams. The Service helps authorized users manage WBSO projects, organization members, hours, technical evidence, GitHub and Linear integrations, evidence-hour links, dashboard checks, and auditpack exports.

R&Dossier is not an official RVO submission portal and does not guarantee WBSO eligibility, approval, realization acceptance, or audit outcomes. You remain responsible for your WBSO application, administration, reporting, and compliance obligations.

The Service may be provided on demo, paid, or custom plans. Features and limits depend on your plan. We may modify, add, or remove features, with notice where practical for material changes that affect your use of the Service.

2. Accounts and Registration

To use the Service, you must register for an account. You agree to provide accurate, current, and complete information and to keep your account information up to date.

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify us immediately if you suspect unauthorized access.

You may not share your account credentials or allow multiple people to use the Service through one user account. Organization workspaces should be accessed through separate invited user accounts.

We may suspend or terminate accounts that we reasonably believe are used fraudulently, abusively, or in violation of these Terms.

3. Subscriptions, Billing, and Payment

Paid plans are billed through our payment processor on the billing interval and terms shown at checkout or in the billing portal. Fees are exclusive of taxes unless stated otherwise. You are responsible for applicable taxes.

Subscriptions renew automatically unless cancelled before the renewal date. Cancellation takes effect at the end of the current billing period. No refunds are provided for unused portions of a paid period except where required by law.

We may change subscription pricing. Where required, price changes will be communicated through checkout, the billing portal, email, or another reasonable method before they apply.

In the event of non-payment, failed payment, cancellation, or plan-limit issues, we may restrict access to paid features, make an organization read-only, downgrade access, or terminate access in accordance with the product flow and our Privacy Policy.

4. Demo Organizations

New organizations may start on a demo plan. Demo organizations may have limits on projects, users, hours, evidence items, integrations, exports, and other features.

Demo access is provided for evaluation and may be modified or discontinued at any time.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

  • use the Service for organizations, repositories, Linear workspaces, or data you are not authorized to access;
  • use the Service to create false, misleading, fraudulent, or fabricated WBSO administration records;
  • use the Service to violate any law, regulation, contract, or third-party right;
  • attempt to reverse-engineer, decompile, disassemble, or derive the source code of the Service;
  • circumvent, disable, or tamper with security or access control features;
  • transmit malware, spam, or harmful code;
  • resell, sublicense, or make the Service available to third parties without written consent;
  • scrape, harvest, or extract data from the Service by unauthorized automated means;
  • overload, disrupt, or damage our infrastructure or other users' experience.

Violation of this section may result in immediate suspension or termination without notice or refund.

6. Your Responsibilities

You are responsible for:

  • ensuring your organization is eligible to use the Service for its WBSO administration;
  • ensuring you are authorized to connect GitHub, Linear, or other integrations;
  • the accuracy and completeness of WBSO projects, hours, evidence, descriptions, links, and exports;
  • deciding which candidates become official evidence in the dossier;
  • reviewing all outputs, dashboards, warnings, and exports before relying on them;
  • maintaining appropriate access controls inside your organization;
  • keeping your account and billing information up to date.

R&Dossier provides workflow and administration tooling. It does not replace your own review, your advisor's review, legal advice, tax advice, or official RVO processes.

7. Intellectual Property

The Service, including software, user interfaces, visual designs, workflows, documentation, and content produced by R&Dossier, is owned by us or our licensors and protected by applicable intellectual property laws.

You retain ownership of the data you input into or generate through the Service, including WBSO project data, hours, evidence, integration data, and organization records. You grant us a limited, non-exclusive license to process, store, secure, troubleshoot, and provide the Service as described in these Terms and our Privacy Policy.

Feedback, suggestions, or ideas you provide may be used by us without restriction or compensation unless agreed otherwise in writing.

8. Confidentiality

Both parties may access confidential information of the other party. Each party agrees to protect the other party's confidential information using reasonable care and not to disclose it to third parties or use it for purposes outside these Terms, except as permitted by these Terms, our Privacy Policy, or applicable law.

This does not apply to information that is publicly known, independently developed, already lawfully known, or required to be disclosed by law or court order.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, store, and share data in connection with the Service.

10. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability.

We do not warrant that:

  • the Service will make your WBSO administration complete, correct, or compliant;
  • the Service will guarantee WBSO approval, realization acceptance, subsidy entitlement, or audit outcomes;
  • dashboards, warnings, suggestions, evidence links, or exports are complete or error-free;
  • GitHub, Linear, or other integrations will always sync or remain available;
  • the Service will be uninterrupted, secure, error-free, or available at all times.

You assume full responsibility for evaluating and relying on any output from the Service.

11. Limitation of Liability

To the maximum extent permitted by law, R&Dossier and its officers, directors, employees, agents, and licensors shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, business interruption, lost subsidy, failed WBSO claim, or audit-related loss, arising out of or in connection with the Service.

Our aggregate liability for any claim relating to these Terms or the Service shall not exceed the greater of: (a) the total fees paid by you to R&Dossier in the twelve months before the event giving rise to the claim; or (b) one hundred euros (€100).

Some jurisdictions do not allow certain exclusions or limitations. In such jurisdictions, liability is limited to the fullest extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless R&Dossier and its officers, directors, employees, and agents from claims, liabilities, damages, losses, and expenses arising out of or relating to:

  • your use of the Service in violation of these Terms;
  • your violation of law or third-party rights;
  • WBSO data, evidence, hours, or integration data you provide;
  • unauthorized access to GitHub, Linear, organization, or project data;
  • decisions or submissions made based on data exported from the Service.

13. Term and Termination

These Terms remain in effect while you maintain an account or use the Service.

You may request deletion of your account through the Service settings where available. You may need to leave or delete organizations first, and paid organizations may require subscription cancellation before deletion. Termination does not entitle you to a refund of prepaid fees.

We may suspend or terminate access immediately if you breach these Terms, fail to pay fees, or if continued access poses a risk to the Service, users, third parties, or our business.

Upon termination, your right to use the Service ends immediately. We will delete, anonymize, or retain data in accordance with our Privacy Policy, except where retention is required or permitted by law or legitimate business needs.

Sections that should survive termination, including intellectual property, confidentiality, limitation of liability, indemnification, and governing law, will survive.

14. Modifications to the Service and Terms

We may modify or discontinue the Service, or any part of it, at any time. We will use reasonable efforts to provide advance notice for material changes that materially affect your use.

We may update these Terms from time to time. We will notify users of material changes by posting revised Terms and updating the “Last updated” date. For significant changes, we may also notify users by email or in-app notification.

Continued use of the Service after updated Terms take effect may require acceptance of those Terms.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Netherlands, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation.

If the dispute cannot be resolved within 30 days, either party may bring the dispute before the competent courts of Amsterdam, the Netherlands. Nothing prevents either party from seeking urgent interim or injunctive relief.

16. Severability

If any provision of these Terms is found invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and any additional terms applicable to specific features or services, constitute the entire agreement between you and R&Dossier regarding the Service and supersede prior agreements or understandings.

Any waiver of a right or obligation under these Terms must be in writing and signed by an authorized representative of R&Dossier. Failure to enforce any provision does not waive our right to enforce it later.
